TOURNAMENT ADVANTAGE TERMS OF SERVICE

These Terms of Service (“Terms”) govern your use of the Tournament Advantage platform (“Tournament Advantage,” “Platform,” “we,” “us,” or “our”), operated by Platform Solutions LLC.
By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. NATURE OF SERVICE (READ CAREFULLY)
Tournament Advantage is a software platform only.
We:
• Provide tools to create and manage fundraising events
• Facilitate connections between Organizers and participants
We do not:
• Act as a fundraiser, solicitor, broker, or financial intermediary
• Take custody or control of funds
• Verify or endorse any event, organization, or fundraising activity
All funds are processed directly between Users and Organizers via third-party payment processors.

2. STRIPE CONNECT STANDARD RELATIONSHIP
The Platform uses Stripe Connect Standard accounts.
You acknowledge and agree:
• You (the Organizer) are the merchant of record
• You contract directly with Stripe
• Funds are paid directly to your Stripe account, not to us
• We never hold, control, or redirect funds
We are not responsible for:
• Payment processing errors
• Chargebacks, disputes, or fraud
• Account freezes, reserves, or shutdowns by Stripe

3. ORGANIZER RESPONSIBILITY (NON-NEGOTIABLE)
If you create or run an event, you are solely responsible for:
• Legal compliance (including fundraising laws)
• Delivery of all promised goods, services, and experiences
• Accuracy of all representations
• Tax reporting and obligations
If something goes wrong, it is your problem, not ours.

4. FEES
Fees may include:
• Event setup fees
• Platform fees
• Transaction-based fees
Fees may be:
• Charged upfront
• Deducted through Stripe
• Embedded in checkout pricing
All fees are non-refundable under all circumstances, except where required by law.

5. NO LIABILITY FOR EVENTS OR FUNDS
We are not liable for:
• Misuse of funds
• Fraudulent or misleading campaigns
• Event cancellations or failures
• Injuries, damages, or losses at events
Users participate and donate at their own risk.

6. USER CONDUCT
You may not:
• Misrepresent your organization or fundraising purpose
• Use the Platform for illegal activity
• Circumvent fees or payment systems
• Interfere with Platform operations
We may suspend or terminate access without notice.

7. CONTENT LICENSE
You grant us a worldwide, royalty-free license to use your content to operate and promote the Platform.
We may remove any content at any time, for any reason.

8. REFUNDS & DISPUTES
All refunds are handled by the Organizer.
We:
• Do not guarantee refunds
• Do not mediate disputes
• May redirect complaints back to the Organizer

9. DISCLAIMERS
THE PLATFORM IS PROVIDED “AS IS.”
We make no guarantees regarding:
• Fundraising results
• Platform uptime
• Accuracy of content

10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Our total liability is limited to the fees paid to us in the prior 12 months.
We are not liable for:
• Lost revenue
• Reputational damage
• Indirect or consequential damages

11. INDEMNIFICATION
You agree to fully indemnify and defend us against any claims arising from:
• Your event or fundraising activity
• Your violation of law
• Your misuse of the Platform

12. TERMINATION
We may suspend or terminate your account at any time, for any reason, including suspected risk.

13. GOVERNING LAW
These Terms are governed by the laws of the State of Colorado.
